These Terms of Service ("Terms") govern your access to and use of the SimplySetup website and the company-formation, compliance, accounting and virtual-office services provided by Simplysetup Pvt Ltd ("SimplySetup", "we", "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the website or our services.

2. Our services

SimplySetup provides professional assistance with company incorporation, GST registration and return filing, MCA/ROC and MSME compliance, accounting and bookkeeping, and virtual-office addresses across India. We act as a facilitator and professional service provider; we are not a government body. Statutory approvals, registrations and timelines are determined by the relevant authorities (such as the MCA, GST and Registrar of Firms), and we do not guarantee any specific outcome or processing time that is outside our control.

3. Fees, government charges and taxes

Our pricing is shown on the relevant service page and may be inclusive of our professional fee. Government fees, stamp duty and statutory charges are levied by the authorities and are charged at actuals; these vary by state and entity type. Goods and Services Tax (GST) applies where applicable. Quoted prices may change without notice; the price confirmed at the time of your order applies to that order.

4. Refunds and cancellations

Refunds and cancellations are governed by our Refund Policy. Government fees and charges already paid to authorities on your behalf are non-refundable.

5. Your responsibilities

You agree to provide accurate, complete and lawful information and documents, and to do so promptly. You are responsible for the authenticity of documents you submit and for meeting your own statutory obligations and deadlines. Delays or rejections caused by incorrect, incomplete or late information are not the responsibility of SimplySetup.

6. Third-party platforms and authorities

Certain services involve third-party platforms and software (for example government portals, payment gateways, and accounting tools such as Tally and Zoho Books). Your use of those platforms is subject to their own terms, and their fees or subscriptions (where applicable) are billed by the respective provider. SimplySetup is not responsible for the availability or actions of third-party platforms.

7. Limitation of liability

To the maximum extent permitted by law, SimplySetup's total liability for any claim arising out of or relating to our services is limited to the professional fees actually paid by you to us for the specific service giving rise to the claim. We are not liable for indirect, incidental or consequential losses, or for penalties, interest or charges imposed by any authority.

8. Intellectual property

All content on this website — including text, graphics, logos and design — is the property of SimplySetup or its licensors and is protected by applicable laws. You may not reproduce, distribute or create derivative works without our prior written consent.

9. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
